Verizon Staff Counsel in New York, New York

What you’ll be doing...

Verizon is looking for an experienced attorney to join the Corporate Governance team in Basking Ridge, NJ, with the potential for part-time in New York City. The attorney in this role will advise the Company, senior management and the Board of Directors on corporate governance and public company matters.

Job Summary:

  • Monitor and ensure Verizon’s compliance with governance-related requirements under Delaware law, SEC rules and regulations, and NYSE and Nasdaq listing standards

  • Assist with all matters related to meetings of the Board of Directors and Board Committees, including preparation of meeting materials, resolutions, minutes and relevant research

  • Prepare and review SEC filings, including Annual/Quarterly Reports on Forms 10-K/Q, Current Reports on Form 8-K, Section 16 Filings (Forms 3/4/5) and others

  • Assist with drafting Proxy Statement and related materials for Verizon’s annual shareholder meeting and handle shareholder proposals and SEC No-Action letter requests

  • Provide advice and counsel regarding subsidiary management and corporate recordkeeping

  • Assist with development of Verizon’s corporate governance policies and related stakeholder advocacy, including preparation for meetings with Verizon’s top institutional investors during annual shareholder engagement

  • Advise on relevant corporate governance, investor relations, insider trading and other public company policies and processes

  • Monitor corporate governance trends and regulatory and legislative initiatives for impacts on Verizon

What we’re looking for...

You'll need to have:

  • JD degree or six or more years of work experience.

  • Six or more years of relevant work experience.

  • Admission and good standing in at least one state (if not New Jersey, then eligibility for New Jersey In-House Counsel Limited Licensure).

  • Experience at a law firm.

Even better if you have:

  • JD from a top law school with strong academic performance

  • Four or more years of experience at top law firm

  • Outstanding writing, editing and oral communication skills, adaptive to and effective for different audiences

  • Excellent interpersonal skills and ability to build and maintain relationships within an organization

  • Proven ability to prioritize multiple responsibilities and process a large volume of work in a timely manner with attention to detail
