Olympus America Inc. Associate General Counsel-Intellectual Property in Brooklyn Park, Minnesota

Job Duties::

As an Associate General Counsel working on the Intellectual Property team, you will be empowered and inspired to do your best work. You will contribute to our mission by fostering innovation throughout the R&D teams, working with Upstream Marketing to learn the customer value for each program, and be a key member of the product team to protect that customer value:

  • Serve as primary attorney from the Corporation’s Legal Department for handling intellectual property matters arising from the daily business operation of the Corporation:

  • Monitoring and assisting in the preparation and prosecution of patent and trademark applications.

  • Drafting and negotiating various intellectual property related agreements, including licenses and transactional documents.

  • Preparing and revising patent clearance studies.

  • Providing counsel on patent infringement and patent clearance opinions.

  • Assisting in the management of the Corporation’s worldwide intellectual property portfolio.

  • Supervising and providing guidance to outside counsel when retained to assist with the foregoing responsibilities.

  • Work with research and development and marketing personnel, as well as patent agents and senior management, to define and implement intellectual property strategy for the Corporation.

  • Handle litigation matters involving intellectual property disputes, including investigating to uncover facts relevant to the matter under litigation; supervising and assisting outside counsel. as applicable; assisting in developing litigation strategy; and reporting on the progress of the litigation to the Corporation’s management.

  • Participate in M&A team for due diligence and freedom to operate for acquisitions or licenses.

  • Create patent landscapes and design guidance documents.

  • Assist in the management of intellectual property dispute settlement to avoid litigation if possible.

  • Communicate with appropriate parties in writing or in person to discuss the issues under consideration and recommends settlements, as applicable.

  • Negotiate and draft contracts on a variety of intellectual property matters, including:

  • Negotiating with the contracting party to define and finalize the purpose, nature, and provisions of the contract to be completed; seeking the most advantageous position for the Corporation.

  • Advising the Corporation’s business managers throughout the contract negotiation process with respect to the areas of legal risk and exposure.

  • Recommending negotiating strategies to achieve a satisfactory outcome.

  • Refining the language and construction of the contract to provide maximum legal protection to the Corporation while clearly defining its business purposes and provisions.

  • Provide advice to management on a variety of intellectual property related subjects to minimize legal exposure, including Corporation’s patent portfolio strength.

  • Supervise Staff. Assists, if necessary, in development of staff s ability to assess patentability and patent clearances.

  • Maintain the confidentiality of Legal Department communications and documentation.

  • Perform all other related duties as directed.

Job Requirements::

REQUIRED QUALIFICATIONS:

  • Bachelor's Degree in Electrical or Mechanical Engineering (or similar), Master's Degree is preferred.

  • Juris Doctor Degree from an accredited law school; Licensed to practice law.

  • Minimum of 6 years of experience in a wide array of intellectual property matters including licensing, client counselling, and patent prosecution, as well as experience in general corporate law or litigation involving contracts.

  • Minimum of 3 years of law firm patent prosecution and clearance work.

  • Minimum of 3 years of in-house medical device company legal/IP.

  • Registration before the USPTO and at least one State Bar.

  • Experience managing an intellectual property group or practice.

  • Ability to travel, up to 25% of the time.

PREFERRED QUALIFICATIONS:

  • Effective leadership, motivational and team building skills with ability to lead organizational change and demonstrated decision making capabilities.

  • Strong relationship skills, ability to manage and motivate both up and down the Corporation.

  • High energy, self-motivated, hands on and participatory with strong results orientation and ability to quickly establish priorities.

  • Must have a sense of ownership and a desire to support the Corporation to achieve high level corporate goals.

  • Excellent written and oral communication skills and an attention to detail.

  • Full capability using Microsoft Applications including Word, Excel, Outlook and PowerPoint required.

The Associate General Counsel will handle intellectual property matters arising from the daily business operation of Olympus Surgical Technologies Americas (the Corporation) medical and surgical product groups, including negotiating and drafting contracts on behalf of the Corporation on a variety of intellectual property matters. He/She will provide professional counsel and service to the medical and surgical product groups of other companies of the Olympus Group in intellectual property matters. The incumbent will define and implement a patent portfolio strategy for the Corporation in cooperation with engineering and marketing. He/Seh will represent the Corporation in intellectual property matters and manage outside intellectual property counsel for the Corporation. The incumbent will supervise professionals and or paraprofessionals employed in the Legal Department.
