The Corporate Paralegal will independently handle or provide support, as appropriate for the matter, on securities and corporate matters, including corporate and subsidiary management, SEC/NYSE filings and corporate secretarial functions.
Assist in preparing for board meetings of the Company and certain direct subsidiaries of the Company, including preparing minutes, board resolutions, agendas, secretary certificates, consents and reviewing board materials.
Assist with various SEC filings (Forms 10-K, 10-Q, Registration Statements/Prospectuses and Proxy Statements, and Forms 3, 4 and 5), including underlying due diligence, closing tasks and D&O questionnaires, and compliance filings with the NYSE
Oversee subsidiary management to ensure that the subsidiaries comply with various legal requirements. Maintain database with key status of the Company's subsidiaries, maintain record of subsidiary officers and directors, and provide reports on director and officer changes as needed.
Assist with components of the Company’s annual meeting of stockholders, including preparing meeting materials, and managing the calendar of events for the annual meeting.
Other responsibilities as may be assigned, as time may permit. This could include matters such as corporate transactions and intellectual property protection matters.

Minimum of 8 years of relevant experience in securities and corporate secretarial/governance matters for public companies, either in-house or at a large law firm
Bachelor degree plus completion of Paralegal certification
