Your activity at Marsh: The German business unit Private Equity and M&A Practice (PEMA) is part of the global PEMA practice which consists of 200 employees. Marsh’s PEMA Practice develops solutions that help corporations, private equity firms, alternative asset managers, lenders, and infrastructure investors manage M&A risks. Our dedicated team of advisors and attorneys worldwide works across Marsh and other Marsh & McLennan Companies businesses to help provide specialized, industry-specific depth. You will undertake a process of legal and commercial risk analysis of tax risks relating to M&A transactions and also standalone tax risks, with a view to providing clients with a bespoke insurance solution that allows them to meet their transaction and tax risk management objectives.

Your activities will be focused on broking tax risks identified in corporate transactions across all sizes and sectors of business, and several jurisdictions in Continental Europe (with Germany being a focus) carrying out detailed tax risk assessment and analysis, developing and marketing new business.

Main Duties:

• Broking of tax risks identified in corporate transaction risks (both tax risks and special situation contingent risks relating to tax) • Deliver timely and bespoke tax risk insurance documents on tax risk deals • Develop client relationships with a focus on law firms, investment banks, tax advisers and accountants, and private equity funds • Regularly attend and present at external client meetings, commercial and legal seminars with a view to building relationships • Propose and develop new tax insurance products • Advising on tax risks relating to W&I transactions in our Transactional Risk team QualificationsEssential Requirements:

• German qualified tax solicitor (“Steuerberater / Fachanwalt für Steuerrecht”) • Excellent English skills • Strong technical knowledge in relation to tax law and tax practice • Excellent business development skills • Strong written and oral communication skills; extremely proficient drafter of legal and commercial documents • Ability to negotiate with commercially and legally sophisticated advisors and clients • Highly focused, enthusiastic and creative thinker

Desirable: • Experience in negotiating and managing the tax warranties and risks relating to M&A transactions
