Job Description

As a trusted partner within the Organon Legal team you will partner with our leaders to ensure we maintain Organon’s values and high ethical standards, protect our people and assets, and enhance our reputation. You will work cross-functionally with stakeholders across the organization to provide legal support to the Business Development organization for complex transactions.

Position Responsibilities:

  • Work closely with management in business development and licensing functions on complex legal transactions led by the Company

  • Provide both deal and strategic advice to business development, management and executive clients

  • Negotiate and draft highly sophisticated M&A, joint venture, licensing, collaboration and other agreements

  • Advise on relevant antitrust, FTC, SEC and corporate laws impacting various projects

  • Supervise activities and manage relationship with outside counsel, as needed, to support transactions

  • Provide legal services, advice and guidance that is consistent with law and Company policy; furthers business objectives and appropriately balances divisional/function/corporate business objectives and legal risks

  • Exercise judgment to drive decisions on routine and non-routine matters within area of practice

  • Some domestic and international travel required

Education Minimum Requirement:

  • Bachelor's degree from an accredited institution.

  • Graduate of an accredited US law school, with admission to the Bar of Pennsylvania, New Jersey or another state.

Required Experience and Skills:

  • Five (5) or more years of experience in a law firm or corporate setting.

  • Excellent teamwork, communication (written and oral) and analytical skills, and a high degree of business acumen.

  • Experience in managing a significant workload, with the ability to juggle competing tasks in a fast paced and challenging environment.

  • Experience drafting legal transactional documents and advising on business and legal risks in specific transactions

  • Experience in operating independently in ambiguous circumstances

  • Experience in handling complex transactional matters in the pharmaceutical or related industries

  • Ability to be proactive and take initiative
