This role will work across IBM Business Units, and in partnership with IBM Corporate Development, to assess Data Privacy risk of potential IBM acquisitions as part of IBM's Mergers and Acquisitions process.We're looking for top talent performers with demonstrated leadership in driving change. In this role, you will partner with Enterprise & Technology Security ('E&TS') leaders, as well as one or more Business Unit Information Security Officers (BISOs) to evaluate and remediate IT security and data privacy risk from Due Diligence through Transfer of Business or project handover, depending upon the operating model.Key Characteristics:+ Experienced Data Privacy professional with knowledge of key processes, tools, policies and regulations+ Active listener, who is confident in probing further in interviews through follow-on questions+ Collaborative-willing to partner across other M&A functions and across Business Units to share findings, insights and areas of concern+ Detail-oriented, project management mindset with proven ability to define outcomes, develop action plans / milestones to deliver those outcomes, and execute against plans+ Strong communications skillsResponsibilities of this IT Security and Privacy role include:+ Own the Privacy M&A process; Continually review, refine and update the end to end process to reflect new learnings and insight. This includes management of the Due Diligence checklist and other supporting assets+ Ensure the Data Privacy M&A process is well coordinated with your counterparts across the various IBM functions, teams and geographies, involved in the M&A process+ Conduct on-site Due Diligence interviews with Target acquisition companies to understand Target's current IT Security and Data Privacy posture; Document and probe / follow-up on areas of concern+ Articulate and communicate Due Diligence findings to E&TS leadership, responsible BISO and other interested M&A representatives+ Quantify impacts of Due Diligence findings, including creation of the Due Diligence, with support of responsible BISO, for inclusion in Acquisition business case+ Accurately size the resource plan (i.e. cost / skills) required to execute pre-close / post-close remedial actions, drawing on wider IBM / BU functions and SMEs as required+ Ensure correct follow-up / actions are taken post- Due Diligence, driving to completion through transfer of business or handover of project to IBM Business as Usual (BAU) operations+ Engage in required Corporate Development owned meetings and processes, as part of IBM's M&A process+ Drive program to investigate changes to IBM's Divestiture process, to ensure IT Security & Data Privacy risks are appropriately investigated and highlighted to E&TS and IBM leadership. This will require engagement with IBM E&TS, Legal, Corporate Development and BISO leaders.+ Will report into the Operations & Transformation lead but will have a close working relationship with BISOs, E&TS leadership and other IT Security and Privacy SMEsRequired Technical and Professional Expertise+ At least 2 years experience in Project Management+ At least 5 years experience in Mergers and Acquisitions, including due diligence+ Prior IT or Data Privacy experience in at least one or two typical IT roles (e.g. infrastructure, applications, strategy, operations, etc.)+ Familiarity with Data Privacy services, controls and industry standards+ Familiarity with Data Privacy regulations and industry standards including GDPR+ Deep understanding (and network) of IBM's matrixed organizational structure+ Practical knowledge of a wide variety of technologies, platforms and functional areas+ Familiarity with current trends and developments in cloud (SaaS, PaaS, and IaaS), information security, and data privacy+ Familiarity with common industry security standards such as SSAE16 (SOC2), ISO27001, CSA-STAR, PCI DSS, or HIPAA+ Ability to communicate business needs to technical people, and to communicate and simplify complex technical information for non-technical peoplePreferred Technical and Professional Expertise+ Certified in Cloud (e.g. Cloud+), Security (e.g. CISSP), or Privacy (e.g. CIPP/CIPT) PMI certification or IBM Agile Achiever badge+ Some experience with legal, regulatory, and audit activities typical in the IT industry+ IAPP CertificationAbout Business UnitIBM is a leading provider of enterprise security solutions.
