Position Summary

The Mergers & Acquisitions candidate will possess strong business acumen with experience in the life sciences and biopharmaceutical industry. An understanding of the M&A process in the industry is required, as is some familiarity with the Biopharma landscape as this individual will also support the active surveillance and M&A target prioritization/evaluation activities. The candidate is required to have strong interpersonal skills and work with multiple internal stakeholders to facilitate highly visible and time-sensitive M&A projects. Furthermore, the candidate will provide M&A support in performing the strategic, commercial and financial assessments of M&A opportunities, collaborating with other business units to perform due diligence and valuation, and managing the M&A process in support of BMS strategy and objectives.

Key Responsibilities

  • Demonstrate business acumen while collaborating closely with internal business development search and evaluation (S&E), R&D, Finance, and Commercial stakeholders as well as external advisors
  • Facilitate and support the active monitoring and surveillance work on a broad set of M&A target priorities
  • Support triage, evaluation and tracking of inbound M&A opportunities working closely with internal S&E and operations teams
  • Support the M&A deal process:
    • Support project team interactions with functional representatives, including those from third parties (i.e. bankers, lawyers, accountants, and consultants, etc.)
    • Support the development, drafting, and execution of project team deliverables and recommendations
    • Ensure robustness of the overall M&A process and complete deliverables under time-sensitive deadlines
  • Participate in the successful structuring, negotiation and execution of M&A transactions with supervision to successful completion
  • Support the delivery of business assessments and recommendations of external M&A opportunities including deal proposals, street perspectives, valuation, deal status, and key issues of the transaction to BMS governance bodies for endorsement
  • Support and participate as needed in BD external partnering events (JPM, banker conferences, BIO, BIO EU, BMS Partnering Days etc.) and relevant technical / scientific meetings, including preparing materials such as presentations, FAQ and related documents
  • Collaborate with a broad range of BMS functions, including coordinating with internal stakeholders/ external counterparts to ensure smooth execution and working with Transaction Legal on contracts
  • Provide mentoring and coaching across internal stakeholders

Qualifications & Experience

  • MBA, JD or other advanced business degree preferred
  • Minimum 3 years of experience within business development, including at least 2 years in Life Sciences (Pharma and Biotech ideal) and minimum of 2 years of relevant M&A experience (e.g., financial analysis, managing, and executing complex M&A transactions)
  • Experience in Pharma M&A
  • Ability to analyze and understand sales forecasts, P&Ls, risk analyses, and company valuations; strong understanding of discounted cash flow, net present value, internal rates of return and risk analysis techniques
  • Able to integrate scientific knowledge across therapeutic areas into M&A target monitoring, evaluation and valuation
  • Proven ability to manage multiple projects efficiently with some guidance and supervision
  • Strong knowledge of pharmaceutical industry issues, trends, scientific innovation and their business impact and expertise in the M&A process and landscape. Good understanding of the drug development, approval, and commercialization process
  • Strong analytical, communication, and leadership skills
  • Able to communicate effectively with senior management
  • Support the M&A team on all aspects of major deals
  • Ability to support analysis undertaken by other functions
  • Demonstrated negotiation skills
  • Consistently delivers on commitments in a timely manner
  • Works well with and exerts influence on multi-disciplinary teams. Facilitates candid dialogue and cross-functional collaboration
