An exciting time to join Mercer in the role as Company Secretary. As the company is in a transitional phase, this role is busy and interesting, offering the opportunity to truly partner with the Leadership team and Chair and help to define the future of the Board and strategy, putting your ideas forward as well as your own input into processes. This is not an average Company Secretarial role, moreover this is a role where you will be involved in interesting project work in addition to BAU work and where your advice and guidance as Company Secretary will be highly valued by the Senior Leadership team. Reporting to the Associate General Counsel, UK and Europe, the Company Secretary serves as a member of the Mercer Legal Team. This position works closely as a proactive partner and trusted advisor to Boards of Directors and corporate governance committees in the Mercer´s UK and Europe Zones, with a particular emphasis on the UK, and works closely on a regular basis with Business, Legal, Risk and Compliance colleagues in Mercer globally, and all businesses and functions in MMC and its affiliates more generally. The role also supports other MMC Group Companies Key Responsibilities Proactively support the corporate governance framework for Mercer UK including; the proper administration of all Board and Committee meetings, setting meeting dates and agendas, timely issue of meeting papers and taking of accurate minutes. Provide advice to Board Directors, including the Chairmen, CEOs and Non-Executive Directors of Regulated Companies on corporate governance matters and compliance with UK Companies law and regulation. Proactively manage the administration of all Mercer, legacy JLT EB and Oliver Wyman legal entities in the UK, both active and dormant, allocated to the job holder; including the formation, constitutional amendment and winding up of legal entities, and the filing in a timely manner of all accounts, returns and formalities required by statute, law or regulation for each legal entity. Proactively support group functions with ad hoc projects including but not limited to corporate structuring projects and transactions, integration of acquisitions and regulatory projects. Supervise a Company Secretarial Assistant, including managing personal development and performance. Act as a focal point for queries and information requests and the conduit between the boards of directors, management and internal and external stakeholders. Recommend, appoint and manage outside providers such as notaries, law firms and others providing company secretary administration services across the UK Zone, and technology platforms utilized by the Company Secretarial team and/or Boards. Maintain accurate records of all the legal entities within the job holders remit as advised from time to time, utilizing the Blueprint or similar database system. Report on specific issues, projects and trends as required. Support the Associate General Counsel, UK and Europe and local legal counsel in European markets on ad hoc company secretarial matters in various jurisdictions as required. Requirements Member of the Institute of Chartered Secretaries and Administrators, or Institute of Chartered Accountants or Chartered Institute of Management Accountants or Chartered Institute of Public Finance and Accounting; in England, Scotland, Ireland or an appropriate foreign jurisdiction equivalent. Alternatively a fully qualified solicitor or barrister in England, Scotland or Ireland or an appropriate foreign jurisdiction equivalent. Minimum of 3-5 years as a Company Secretary of a public listed company or complex regulated private company in either the financial services or professional services sectors Good team player. Organised and methodical. The ability to draft clear and accurate meeting minutes and logs. Maintain accurate records and databases. Forward plan and organize Board and committee meetings. Supervisory experience. Current knowledge of Companies law and regulation and good practice in corporate governance. Ability to advise in confidence in a clear and articulate manner.
