Job Description:

We are seeking to recruit a highly motivated Manager Share Plans to join our UK Operations. The prupose of the role is to manage the design, delivery and administration of Shell’s share and cash based plans to deliver world class employee experience and accurate, fit for purpose, fully compliant plans globally. The role will also help shaping the Company’s people and organisation strategy and drive the Employee Value Proposition, culture and external reputation.


  • To ensure that the plan administration is standardised, simplified and automated.

  • Overall responsibility for communication templates and standards , including legal and policy aspects.

  • To engage and collaborate with relevant internal stakeholders to ensure effective plan execution. Including Treasury to ensure effective hedging, Group Finance / Reporting to ensure accounting compliance, Group Tax to ensure compliance on personal and corporate taxes (including recharging), Legal to ensure that due diligence is conducted and acted upon in terms of plan design and operation, HR / Payrolls, Mergers & Acquisitions team, Auditors, Information Risk Management etc.

  • To manage the external stakeholder relationships, contracts and service levels (share plan administrators, custodian, Stichting (trustee), registrar, tax provider regarding their role on equity tax withholding). To co-create innovative solutions with our third-party providers to meet the ever-changing challenges of delivering equity on a global scale and to deliver world class outcomes. (Previous examples include the award winning automated tax tool and the Vested Share Account (VSA) to hold vested shares - these were global firsts in the share plan industry – now market standard).

  • Responsible for the provision of expensing under international accounting standards of the share plans (IFRS2) to Group Reporting and input into the Annual Report 20F.

  • Responsible for providing design and data input on behalf of Central HR to tax recharge projects (transfer pricing) on share plans through Group Tax and Group Finance.

  • Supporting complex casework and policy delivery working closely with Executive Compensation and HR, tax and legal colleagues to ensure case management is executed on a timely and efficient basis and dealing with ad-hoc complex queries as required.

  • Responsible for the compliant delivery of share plans in mergers and acquisitions (regular divestments of Shell entities, aquisitions of new entities or major acquisitions e.g. BG Group plc).

  • To ensure share plan implications of other policies, projects and initiatives (e.g. changes in performance management policies, HR systems etc) are taken into account in the delivery of such projects.

  • Responsible for managing Share Plans policy and process related review and improvement (including alignment to business strategy, market practice, external environment etc).

  • Ensure changes in regulations are reviewed to identify impacts on share plans (e.g GDPR, MiFID, Market Abuse Regulations and ensure all actions taken to secure ongoing compliance).

  • Have an external focus through membership, and active participation at, equity-specialist fora, ensure that the Shell share plan processes and administration are at the leading edge in the industry. Ensure that all external learnings are shared across the various internal stakeholders in Shell as applicable.

Deep subject matter expertise and proven share plans experience in an international context. Must be highly collaborative and effective at partnering with a range of stakeholders and colleagues and leading a team.
