Workyou ll do

As a Senior Manager, you will lead and deliverlarge, complex client engagements that identify, design, and implement creativebusiness and technology solutions for large companies. Senior Managersareexpected to contribute to the firm's growth and development in a variety ofways. You will be responsible forengagement management:

Lead engagement planningand budgeting; mobilize and manage engagement teams; define deliverablestructure and content; facilitate buy-in of proposed solutions from topmanagement levels at the client; direct on-time, quality delivery of workproducts; manage engagement economics; manage engagement risk.

Senior Managers manage day to day interactions withexecutive clients and sponsors:

Participate in BusinessDevelopment, develop and maintain contact with top decision makers at keyclients, organize and lead pursuit teams, participate and lead aspects of theproposal development process, contribute to the development of proposal pricingstrategies.

Senior Managers must contribute to Practice Development& Eminence:

Develop practicalsolutions and methodologies, develop "thoughtware" and "point-of-view" documents, participate in public speaking events, get publishedin industry periodicals.

As a Senior Manager you will be responsible for peopledevelopment:

Perform the role ofcounselor and coach, provide input and guidance into the staffing process,actively participate in staff recruitment and retention activities, provideleadership and support for delivery teams and staff in local offices.

The team

M&A | Restructuring and CostTransformation

Our mandate is to enable our clients ability to grow, optimize, and fundamentally change the nature of theirbusiness and competitive position. We do this via M&A, divestiture, andrestructuring services from beginning to end. Our Offering enables pre-deal andpost-deal integration, divestiture, and major restructuring/cost transformationactivities to achieve/exceed deal value, synergy targets, or strategic costtakeout objectives.

M&A Strategy and Diligence aids clients in optimizingtheir portfolio, finding the right targets and assessing the risk profile toensure it meets strategic objectives. We work with senior executives to definehow they employ M&Ain alignment with their corporate strategyto driveprofitable growth and enable them to compete effectively in their industry. Thisis provided through corporate strategy, inorganic growth paths, target profilesand investment thesis. Our Commercial Diligence team tests the information thatinforms a client s M&A deal valuation and post-merger acquisition plan. Wecan validate a target company s recurring revenue, revenue growth, and marginsustainability, as well as conduct rapid primary research on its markets,customers, suppliers, and competitors virtually anywhere in the world. Throughstrategic diligence, we also assess potential upside opportunities that thebusiness may not be taking advantage of, and we identify possible downsiderisks that could jeopardize the near term or ongoing value of the deal. OurOperational Diligence professionals can assist clients with criticallyevaluating a target s attractiveness through operational assessments and riskmitigation strategies. We link these findings to deal value for informedtransaction decision-making, negotiations, and eventual strategic and financialvalue realization.


A candidate must have M&A orM&A Service Delivery Experience in the following areas:

o Participating in settingengagement objectives and scope.

o Developing work plans forcomponents of engagements, coordinate activities between work streams andidentify changes in scope.

o -{PS..0}->Designing deliverable content toprecisely reflect the engagement contract and client needs and strive toimprove deliverable quality through verification and validation of results.

o Managing cross-functional teams todeliver M&A engagements across all of phases of the M&A lifecycleincluding due-diligence, pre-close, and post-merger integration.

o Identifying and assessing targetsbased on meaningful screening criteria that can include a client s strategicobjectives, potential synergies, organizational and cultural fit, and thefeasibility of a deal based on the client s corporate strategy, marketexpectations and corresponding portfolio gaps.

o Providing corporate and privateequity buyers with a broad continuum of advisory services to support mergers,acquisitions, carve-outs, investment and financing structures, dispositionalternatives and post-transaction activities.

o Partnering with senior executivesto define how they employ M&A in alignment with their corporate strategy to drive profitable growth and enable them to compete effectively in theirindustry.

o Providing industry insight andanalytical support using data mining, pattern matching, data visualization, andpredictive modelling tools to produce analysis and algorithms that enablespre-deal and post-deal integration, divestiture, and major restructuring/costtransformation activities to achieve/exceed deal value, synergy targets, orstrategic cost takeout objectives.

o Managing service excellence byidentifying key client business issues, determining client needs bysupplementing the standard assessment techniques and tools with innovativeapproaches, evaluating and validating analysis and developing recommendationsfor the client in the context of the overall engagement.

o Managing day to day interactionswith executive clients and sponsors; develop and maintain contact with topdecision makers at key clients.

o -{PS..1}->Participating and leading aspectsof the proposal development process; contributing to the development ofproposal pricing strategies.

o Performing role of counselor andcoach; actively participate in staff recruitment and retention activities;provide leadership and support for delivery teams and staff in local offices.

o Improving internal processes, andpromote knowledge sharing in the team, by contributing to the community ofpractice, blogs, and other forms of market eminence.

Bachelor's degree and 8 yearsconsulting and/or industry experience; alternatively an MBA with 7 yearsrelevant work experience is acceptable.

Ability to travel 80-100%.

Must be legally authorized to workin the United States without the need for employer sponsorship, now or at anytime in the future.


Strong oral and writtencommunication skills, including presentation skills (MS Visio, MS PowerPoint).

Strong problem solving andtroubleshooting skills with the ability to exercise mature judgment.

Experience with staff developmentand eagerness to mentor junior practitioners.

Ability to work independently andmanage multiple task assignments.

An advanced degree is preferred.
