TITLE: Associate Strategy & Corporate Development (Marsh & McLennan Companies, Inc. – New York, NY) DUTIES: Lead the day-to-day deal process of performing diligence, liaising with functional and business leadership and participating in management meetings. Conduct financial analysis, valuation modeling, presentation writing, and manage relationships with third party advisors. Leverage market knowledge, relationships, and critical thinking to source attractive targets, champion acquisitions and properly evaluate target companies. Build and oversee development of DCF models including analyzing historical financial statements, develop projections and synergy cases with management, calculate return metrics, develop sensitivities, and form view on transaction structure. Perform due diligence and identify both deal and due diligence risks. Work with transaction team to determine mitigating strategies. Conduct ad-hoc research and analysis to support strategic initiatives, Board and Executive Committee presentations and other activities. Deliver presentations to Marsh & McLennan Companies leaderships as needed. Write industry primers and research and analyze potential acquisition targets. Work with commercial leads to develop M&A priorities by business segment. 10% national and international travel is required to various and unanticipated company and client sites. REQUIREMENTS: Must have Bachelor’s degree or foreign equivalent in Finance, Accounting, Economics, or a related field plus three (3) years of progressively responsible experience in the position offered, as a Senior Associate, Associate or a related position. Must have three (3) years of experience in the field of mergers and acquisitions. Must have three (3) years of experience with: Conducting valuation analysis utilizing valuation methodologies including public comparables, precedent transactions, discounted cashflow, sum of the parts >[20] internal projects and external clients; Transaction return metrics including Internal Rate of Returns (“IRR”), payback periods, and Return On Investment Capital (“ROIC”); Valuation concepts including WACC, CapM, terminal value, levering and unlevering Beta, Enterprise Value, and debt coverage ratio; Computations and implications of levered versus unlevered cash flows, tax benefit from debt financing, working capital, depreciation, and amortization; Reviewing public company filings including 10K and 10Q reports; Reviewing post-acquisition pro-forma statement analysis including amortization impacts from goodwill and intangible assets; Revenue and expense recognition principles; Performing EPS accretion and dilution analysis; Identifying, collecting and normalizing public company financial and operating metrics from financial databases including CapitalIQ and Bloomberg; Extracting financial and operating metrics to Excel for incremental valuation; Performing research in Capital IQ and Bloomberg financial databases including competitors screening (based on size, industry, and enterprise value) and precedent M&A screening (based on industry, control premium paid, and time); Pulling financial and operational metrics of peers, analyst reports, and interest rates related to government and corporate debt from financial databases including CapitalIQ and Bloomberg; Building sophisticated financial projections and valuation models in Excel from scratch including DCFs; Creating and building sensitivities data tables, pivot tables, CapIQ plug-in, charts, and advanced formulas including MATCH, INDEX, IF, and Vlookup in Excel; Digesting highly-complex and dynamic business forecasting models; Ensuring integrity of forecasting, merger and valuation models through numerous version updates and performing quality control; Summarizing financial projections and valuation analysis into PowerPoint presentations and effectively communicating the conclusions; Providing transaction services to large multinational organizations in cross-border deals; Advising on various complex merger and acquisition issues including tax-related and accounting-related consequences from different transaction structures, Net Operating Loss (NOL) carry-over concept, Taxable Amortization Benefit (TAB) concept, tax basis and capital gain/loss calculation, working capital target calculation; Assessing reasonableness of financial projections by considering economic and company-specific factors in the banking and financial service industries including assessing likelihood of target company achieving revenue and cost synergies, reasonableness of projected revenue growth and EBITDA margin by benchmarking against competitors, as well as reasonableness of EBITDA normalizations; Identifying potential M&A needs including tax, accounting, integration, and project needs; and Leading comprehensive projects from beginning to end.
