Director, Corporate Development (M&A)

Preferred Qualifications

Description: Oracle Corporate Development is a small, fast-paced and high-performing team responsible for the execution and integration of mergers and acquisition (M&A) globally. The Corporate Development Director will play a leadership role in all phases of an acquisitions process from target identification, pre-deal diligence, due diligence and negotiations to announcement communications. Directors are expected to lead transactions both internally (with line of business counterparts) and externally (with company management and advisors); As such, we are seeking a talented individual with a blend of deep analytical mindset and strong interpersonal skills.

Key responsibilities will include:

Work with product executives to articulate acquisition rationale and develop operating and financial models to support the business case

Lead diligence reviews of target companies and identify issues and paths to resolution

Act as primary interface for Oracle during deal negotiations

Develop operating plans during due diligence to maximize value creation

Manage the development of the operating budget and model for acquisitions and review findings with Oracle management

Act as a trusted mentor to associates and managers on the team

Requirements:

Six to ten years of progressive experience in M&A planning, execution and project management with a top-tier investment bank, management consulting firm or have had comparable experience in other corporate development teams

Prior enterprise software experience preferred

Strong track record of successful transaction execution is a must

Highly proficient in financial analysis, deal mechanics and processes

Understanding of organizational functional requirements, operational process flows, and corresponding KPIs

Work well in a non-hierarchical, fast-paced and proactive environment

Highly organized and must be able to manage and prioritize multiple high impact projects

Strong verbal and written communication skills and work well in large collaborative team environments

Education:

Bachelor’s degree required; MBA preferred

Detailed Description and Job Requirements

Manages and negotiates strategic transactions for Oracle Corporation, including mergers and acquisitions, strategic licensing, minority investments and joint ventures.

Evaluate potential licensing and investment opportunities. Determine/advise on deal structure. Negotiate term sheets and definitive agreements with third parties. Coordinate internal teams consisting of legal, finance, and business representatives to execute deal. Facilitate approval process.

Assists in the development of short, medium, and long term plans to achieve strategic objectives. Regularly interacts across functional areas with senior management or executives to ensure unit objectives are met. Licensing and/or equity deal negotiation experience. Financial analysis capabilities. Broad understanding of Oracle

  • s products and services. Familiarity with tax and accounting implications of various deal structures.
