A career in Office of General Counsel, within Internal Firm Services, will provide you with the opportunity to be a part of the Firm’s legal department by providing dedicated legal support in the areas of litigation, counselling, and corporate, commercial, and employment law. You’ll play an important part in all aspects of regulatory proceedings involving the Firm and its personnel by supporting on regulatory issues, advising the Firm on matters relating to its operations, supporting the Firm’s client contracting function, and advising on matters related to employees.

As part of our team, you’ll help with researching background information related to legal issues and prepare legal documents. You’ll focus on drafting contracts or legal agreements, retaining files of prepared legal documents, and coordinating requests between internal and external counsel.

Responsibilities

As a Director, you’ll work as part of a team of problem solvers with extensive consulting and industry experience, helping our clients solve their complex business issues from strategy to execution. Specific responsibilities include but are not limited to:

  • Proactively lead the practise by setting strategy, drive the development of new business in the market, and provide technical advice across disciplines

  • Building strong networks within the firm to spot and capitalise on opportunities to get involved in projects that others are leading across a number of different business units and sectors

  • Identifying and discussing key issues with our clients to identify potential opportunities

  • Responsibility for a majority of day to day client communications

  • Responsibility to shape and deliver various projects that exceed the expectations of our clients and our own assignment quality criteria

  • Manage and deliver large projects by developing the project team, assessing engagement risks throughout, driving conclusions, and reviewing / challenging the output produced by the team

  • Responsibility for management of engagement financials

  • Helping to grow and develop our team through hands on training and coaching

The Technology Transactions team is part of the firm’s Technology, IP and Data Protection group. The Technology Transactions team counsels on transactions for technology procurement (inbound licensing) and market facing technology offerings (outbound licensing). Applicants should have familiarity with advising on transactional matters involving software and other technology, including the development, licensing, acquisition, and sale of IP and other technology and other commercial agreements. Minimum Degree Required :

Juris Doctorate

Minimum Years of Experience :

5 year(s) with at least 5 years of prior experience advising on commercial agreements involving software and other technology, as part of an IP transactional or technology transactions practice at a law firm or in an in-house environment. Prior professional experience required; the extent, nature and duration of the experience depends upon the role involved.

Certification(s) Required :

Member of Bar in State in which position is located.

Demonstrates thought leader-level abilities with, and/or a proven record of success directing efforts in the following areas: - Managing outside counsel to obtain optimal outcome and contain costs; - Identifying and analyzing complex legal/regulatory/business issues and providing appropriate legal advice regarding applicable legal and professional standards, often on a time-sensitive basis; - Demonstrating extensive negotiation skills with respect to legal issues; - Managing multiple cases/matters/projects and/or teams of internal and/or external resources; and, - Building consensus, even for difficult or unpopular courses of action necessitated by legal or regulatory requirements.
