Marsh & McLennan Corporate Law Clerk - Intermediate in Toronto, Ontario

The Corporate Law Clerk will be a member of a small, collegial Legal, Compliance & Public Affairs team that supports all lines of Mercer's consulting business in Canada including Wealth, Health and Career, as well as functional areas including Human Resources, Finance and Real Estate/Facilities . This position reports to the Chief Counsel & Corporate Secretary for Canada. Key responsibilities include: Review, negotiate and draft client engagement letters and contracts, RFP responses and non-disclosure agreements. Manage Federal and Ontario government security clearance programs Support corporate transactions and reorganizations Manage/maintain precedent library Corporate Secretarial support for the portfolio of legal entities, including Minute Book management Drafting resolutions Annual corporate returns and filings Qualifications: Minimum of 3-5 years of corporate clerk experience at a major law firm or corporate legal department, with the willingness to provide a broad range of legal support in a rapidly paced business. Completion of a recognized College Law Clerk program required. Member of the Institute of Law Clerks of Ontario Excellent verbal and written communication skills. Ability to work independently and with colleagues within a team environment. Proactive and practical approach to risk mitigation and legal problem solving. Demonstrated project management skills and ability to excel in a high volume environment. French language capability is an asset..
