Responsibilities:

The Contract Compliance

Manager will report to Oracle Legal and make recommendations regarding the design

of contractual compliance procedures and policies. You will handle a

professional staff and frequently interact with supervisors and/or functional

peer group managers.

Responsible for:

  • Establishmentof Contract Compliance process and procedures for review of Oracle DataCloud contracts.

  • Preparationof contract compliance reports in addition to the review of compliancereports drafted by direct reports and provide recommendations within thosereports.

  • Implementand lead semi-annual and ongoing ODC compliance auditing and complianceefforts, including existing regulatory compliance obligations.

Position Overview:

  • Establishand manage the Contract Compliance team for the review of contracts and Oracle’sperformance obligations thereunder.

  • Reviewcontracts and associated use cases, identifying compliance requirementsand monitor ODC’s ongoing compliance with those requirements.

  • Leada specialized area which may have diverse functional elements.

  • Preparecontract compliance status reports.Assist with inbound and outbound data contract interpretation andadministration.

Preferred Experience and Skills:

  • BA/BSor Paralegal Certification. A JD isdesired, but not required.

  • Considerableexperience in running compliance operations for a large technology company,preferably where that company has dealt with vast and dynamic sources ofpersonal data.

  • Strongleadership and people management skills in a dynamic organization.

  • Experiencein drafting and negotiating complex commercial, federal, state and/orlocal government contracts.

  • Excellentwritten, verbal, and social skills.

  • Abilityto work effectively under time critical deadlines.

  • Proficientin Email, MS Word and Excel.

  • Knowledgeof Oracle policies and procedures desired.

Detailed Description and Job Requirements

Manages activities of contract administration team to ensure that contracts are prepared, negotiated and accepted in accordance with Corporate policies. Monitors contract and business terms to mitigate Oracle's risk. Manages a professional staff.

Responsible for the preparation, negotiation, acceptance, and management of commercial contracts; including licensing agreements. Reviews and approves all contractual documents, drafted by Field Contracts staff, for protection of Oracle's contractual posture, satisfaction of customer specifications, and adherence to company policy. Work with Legal throughout the negotiating and drafting process; to ensure all necessary approvals are received. Conduct periodic audits of Field Contract staffs executed engagement contracts for compliance with company policy and ensure adequate quality and technical proficiency.

Leads a specialized area which may have diverse functional elements. Frequently interacts with supervisors and/or functional peer group managers. May interact with senior management. Demonstrated leadership and people management skills. Experience in drafting and negotiating complex commercial, federal, state and/or local government contracts. Strong written, verbal, and interpersonal skills. Knowledge of Oracle Contract Management process. BA/BS Paralegal Certification or equivalent years of professional experience.
